If you have purchased a zEthics service you acknowledge and agree that zEthics will perform daily validations on your business file, and that zEthics may disable and/or discontinue the availability of your service if it determines, in accordance with its own internal processes and standards, that the subject business is out of business, presents a risk of potential fraudulent activity or has filed for Chapter 7 bankruptcy. In the event of fraud risk or Chapter 7 bankruptcy zEthics will disable and/or discontinue the availability of the applicable service immediately and notify you at the email address you provided upon product purchase. If zEthics determines your business is out of business, zEthics will notify you at the email address you provided upon product purchase and give you an opportunity to verify that your business is still active. If you are unable to provide such verification within the time frame set forth in such notice, then zEthics will disable and/or discontinue the availability of the applicable Service. If ZETHICS disables and/or discontinues the availability of your Service, it will discontinue billing you for the Service starting with the next monthly billing cycle after the Service is disabled or discontinued.
You represent and warrant that the information you have submitted to zEthics in connection with your application for Service or otherwise is true and correct, that you have the right to possess and use all such data, and that you will not use the Service or any other zEthics product or service in connection with any unfair or deceptive practices.
With respect to any information you submit in connection with your Service or otherwise, you, not zEthics, have sole responsibility for the accuracy, quality, completeness, appropriateness, and intellectual property ownership of, as well as any data protection obligations regarding, all such information. Each membership plan provides free and/or discounted services, many of which provide twelve months of service coverage. Customers who cancel their subscription service within the first ninety days will be charged the full retail price for products and services ordered. The full annual coverage of these products will still be provided.
You agree to comply with applicable state, local, federal or foreign laws or regulations, including laws and regulations regarding telemarketing / email / fax marketing, customer solicitation, and privacy regarding the products and the collection, processing or transfer of information or software.
This agreement and performance hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, U.S.A., and any action, suit or proceeding instituted hereunder shall be maintained in the courts of the State of Delaware, U.S.A., or the federal courts located in the State of Delaware, U.S.A., which courts shall have exclusive jurisdiction for such purposes.
You acknowledge that the products and services provided through this website are designed for the needs of institutional investors, fund managers, research analysts, market experts, insurance companies and publicly traded companies for traditional risk management and marketing services.
These Terms and Conditions and any associated service, pricing, return or cancellation policy may be amended by zEthics from time to time. At the expiration of the trial period and for each subsequent annual renewal, the applicable full annual license fee for services will be automatically charged to your credit card, unless you have called zEthics customer service to cancel prior to the expiration date of the trial or the then current annual term, and you authorize zEthics and/or its billing partner to use the contact and billing information you provided to charge such subscription.
REFUND & CANCELLATION
ZEthics, Inc. has no refund policy, as all sales are final.
